TERMS OF SERVICE

1. STRUCTURE AND THE SERVICE

This Terms of Service agreement ("Agreement") is between the agency entity ("Agency", "We", "Us") and the contracting business entity ("Client", "You"). Agency provides a proprietary lead-generation website architecture, CRM workflow system, and snapshot hosted via the GoHighLevel platform (collectively, the "System"). This is a software-and-service subscription. You are granted a limited, revocable, non-transferable license to utilize a GoHighLevel sub-account managed by Us during an active subscription period. No transfer of software ownership, system code, or core system design architecture occurs under this Agreement.

2. PROMOTIONAL PERIODS AND TRIALS

From time to time, Agency may offer promotional periods (such as a "$0 for the first 3 months" trial) to select customers, specific cohorts, or during designated marketing campaigns.

  • Applicability: The terms of any promotional trial apply to you only if explicitly selected by you and confirmed on your checkout form or official invoice at the time of subscription activation.

  • Payment Method Required: A valid payment method authorized via Stripe is required to activate any promotional trial period. You will be billed $0.00 for the duration of the defined promotional timeframe (e.g., 90 days).

  • Automatic Conversion: On the day immediately following the end of your promotional period (e.g., day 91), your account will automatically convert to a paid monthly subscription. Stripe will automatically bill your card on file the standard monthly rate established during your checkout registration.

  • Trial Cancellation: To avoid any automated recurring charges, you must submit a written cancellation request before the final day of your designated promotional period.

3. RECURRING FEES AND AUTOMATED BILLING

Following any promotional or trial period, the System is billed on a monthly recurring subscription cycle processed securely via Stripe.

  • Advance Billing: All standard monthly subscription fees are billed automatically in advance of the service month.

  • Payment Failure: If a recurring automatic payment fails, the Agency will attempt to re-charge the card. If payment is not successfully processed within three (3) business days of the initial failure, the System and your access to the GoHighLevel sub-account will be suspended automatically until the outstanding balance is paid in full.

4. CANCELLATION ANYTIME AND 96-HOUR TAKEDOWN

There are no long-term contracts, lock-in periods, or minimum term commitments. You maintain the absolute freedom to cancel your subscription at any time.

  • Immediate Processing: Upon receiving your written notice of cancellation, the Agency will process the termination request immediately.

  • System Deactivation: Within ninety-six (96) hours of cancellation processing, your GoHighLevel sub-account will be deactivated, your external domain will be disconnected from our servers, and the public-facing website system will go offline.

  • Data Export Responsibility: It is your sole responsibility to export any customer lists, contact data, or lead logs from the GoHighLevel CRM dashboard prior to submitting a cancellation request. Once the 96-hour deactivation window closes, data recovery cannot be guaranteed.

5. INTELLECTUAL PROPERTY AND PROPRIETARY SNAPSHOTS

All website layouts, core designs, automated workflows, custom SMS/Email templates, and structural funnel architectures inside the GoHighLevel platform remain the exclusive intellectual property of the Agency.

  • Export Restrictions: You are strictly prohibited from copying, duplicating, scraping, or exporting our proprietary funnels or snapshots into any external GoHighLevel account or third-party platform during or after your subscription.

  • Client Ownership: You retain full, exclusive ownership of all unique brand logos, specific text copy provided by you, and raw lead data generated by your customers through the System.

6. NO GUARANTEE OF REVENUE OR LEADS

While our System is engineered and optimized for lead generation, the Agency makes no guarantees, warranties, or representations regarding the exact volume of leads, phone calls, or vehicle detailing bookings you will receive. The Service is provided entirely on an "as is" and "as available" basis. Agency is not liable for fluctuations in local market demand, local competition, or third-party ad platform algorithm updates.

7. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by, and construed in accordance with, the laws of the Federal Republic of Germany, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded. Any legal action, dispute, or proceeding arising under or in connection with this Agreement shall be brought exclusively in the competent courts of your local German city.
